to contract form issued by Party A with the following terms: 1/4 ĐIỀU 1: ĐIỀU KHOẢN CHUNG / ARTICLE 1: GENERAL PROVISIONS 1.1 Bên A ký hợp đồng với Bên B (theo yêu cầu Bên B) để cung cấp dịch vụ thẻ thành viên Vinasun Taxi/ Party A signs contract with Party B (as requested by Party B) to provide membership services Vinasun Taxi 1.2 Bên A phát hành thẻ thành viên Vinasun Taxi theo phiếu yêu cầu cấp thẻ Bên B theo đề nghị cấp hạn mức sử dụng thẻ taxi cho Bên B (đính kèm phụ lục CT.01/KD/VNS)/ Party A releases the membership card Vinasun Taxi as requirements for issuance of Party B and pursuant to suggestion for limit to use taxi card for Party B (attached appendix CT.01/KD/VNS) 1.3 Bên A chiết khấu cho Bên B tổng số tiền mà Bên B sử dụng dịch vụ taxi tháng Bảng tỉ lệ chiết khấu Bên A thông báo cho Bên B vào thời điểm khác (theo phụ lục CK.02/KD/VNS đính kèm)/ Party A discounts to Party B with the total amount that Party B has to use a taxi service in month Table of discount rate will be notified by Party A to Party B at different time (under attached appendix CK.02/KD/VNS) 1.4 Bên A mua bảo hiểm trách nhiệm dân người ngồi xe theo quy định Pháp luật Việt Nam/ Party A buys civilian liability insurance for passengers in accordance with the Vietnam laws 1.5 Khi sử dụng dịch vụ taxi, Bên B đưa thẻ cho lái xe Bên A quẹt/(cà thẻ) Bên B nhập mã PIN thẻ (Bên B không đọc mã PIN thẻ cho lái xe Bên A) Sau Bên B kiểm tra ký xác nhận số tiền sử dụng Bên B lưu giữ 01 (một) liên biên lai để đối chiếu với bảng kê thể tài khoản website: http://card.vietinbank.vn/corp Bên A cung cấp cho Bên B/ When using taxi services, Party B gives driving card to Party A swipe/(claw card) and Party B enters the PIN code of card (Party B not read the PIN code for driver of Party A) Then Party B tests and certifies to confirm the amount used Party B holds 01 (one) section of receipts to compare with the list shown on the account at the website: http://card.vietinbank.vn/corp provided by Party A to Party B 1.6 Nếu lý mà Bên B khơng giữ lại phần liên sử dụng để kiểm tra đối chiếu Bên B phải toán phần liên Bên A lưu giữ Bên A hỗ trợ cung cấp biên lai cho Bên B biên lai có thắc mắc việc sử dụng dịch vụ Bên B (khi có yêu cầu) qua fax email thời hạn 30 (ba mươi) ngày kể từ ngày phát sinh biên lai đó/ If for any reason which Party B does not retain sections were used to examine and compare trường hợp làm mất, thất lạc thẻ hành chánh, ngày nghỉ (chiều thứ 7, chủ nhật) ngày lễ (theo quy định Nhà Nước Việt Nam) Bên B phải điện thoại lên Tổng Đài Trung Tâm Vinasun để báo mất: (028 38 27 27 27) đồng thời phải gởi văn cho Bên A vào ngày làm việc Bất kỳ thiệt hại phát sinh cước phí sau khơng Bên A xem xét, Bên A chưa nhận thơng báo khóa thẻ Bên B/ If Party B lost, misplaced cards (in office hours: Monday to Friday: from 08 am to 17 pm) and Saturday (from 08h00 to 12h00) must immediately notify Party A through telephone of Vinasun Business room: (028 38 277 178 - ext (232-267-117)) not be reviewed by Party A, if Party A has not received notice of the card lock of Party B 1.9 Nếu có thay đổi (người đại diện ủy quyền hợp đồng, giấy phép đăng ký kinh doanh, mã số thuế, tài khoản ngân hàng, địa kinh doanh,…) phải thông báo cho Bên A văn thời hạn 05 (năm) ngày kể từ có thay đổi/ If there are any changes (or authorized representative on the contract, business license, tax viên Vinasun Taxi Bên B có trách nhiệm tốn đầy đủ số dư nợ lại phí phát sinh liên quan thẻ chấm dứt ngưng sử dụng Ngoài ra, Bên B phải thu hồi thẻ sử dụng để hoàn trả lại cho Bên A chấm dứt Hợp đồng/ dụng dịch vụ taxi tháng cho Bên A theo giá cước quy định Bên A thời điểm ký kết (theo phụ lục CP.03/KD/VNS đính kèm) Trường hợp có thay đổi giá cước (giá cước kiểm soát Hiệp Hội Taxi Thành phố Hồ Chí Minh) Bên A thơng báo cho Bên B biết thời điểm điều chỉnh giá cước mới/ Party B shall pay the fee to use the taxi service in month for Party A under regulated cost of Party A at the time of signing 5.000.000 VNĐ (Năm triệu Việt Nam đồng) cho Bên A Số tiền hoàn trả lại cho Bên B vào thời điểm chấm dứt Hợp đồng sau trừ khoản nợ cước phí sử dụng dịch vụ taxi Bên B/ Party B escrow amount is cấp) để kiểm tra cước phí taxi hàng tháng Các giao dịch cập nhật hàng ngày web online bảng kê cập nhật vào đầu tháng Bên B kiểm tra đối chiếu bảng kê chi tiết số tiền sử dụng taxi tháng phản hồi cho Bên A chậm trước ngày tháng Nếu thời hạn Bên A chưa nhận phản hồi bảng kê Bên B văn xem số liệu Bên B chấp nhận Bên A cung cấp hố đơn tài cho Bên B dựa cước phí phát sinh Bên A chiết khấu cho Bên B tổng số tiền mà Bên B sử dụng dịch vụ taxi tháng/ Party A summarizes arising fee of the whole month ( from the 1st to the last day of the month) Party B will visit the website: http://card.vietinbank.vn/corp (provided by Party A) to check the taxi monthly fee The transaction will be updated daily on the web online and the list will be updated at the first day of the next month Party B can be checked against a list detailing the amount used taxi in month and feedback to Party A at latest of 5th of the next month If the time is limited Party A does not receive feedback on lists of Party B in writing as the data that has been accepted and Party B receives and Party A will provide financial funding for Party B based arising charges were discounted by Party A to Party B on the total amount that Party B has to use taxi service in month 4.2 Bên B có nghĩa vụ toán số tiền sử dụng taxi tháng trước ngày cuối tháng Nếu sau 13 30 phút ngày cuối tháng mà Bên B chưa tốn tiền cước phí taxi tháng trước Bên A tạm ngưng cung cấp dịch vụ/ Party B has the obligation to pay the taxi charges in the last day of the next month After 13:30pm of the last day of every month, if phải chịu thêm mức phạt trễ hạn theo mức lãi suất nợ hạn ngân hàng Nhà nước quy định thời điểm tốn tổng số tiền hóa đơn trả chậm/ If the time limit specified in section 4.2 that Party B fails to pay toàn hai bên thay tất thảo luận, luận minh, thỏa thuận, thương lượng, hiểu biết tất văn khác hai bên liên quan gắn với Hợp đồng Bất kỳ thỏa thuận Hợp đồng khơng có giá trị pháp lý Nếu điều khoản Hợp
